Terms of Service
Information about how Vitekni handles privacy and service matters.
Effective date: 24 October 2026
1. Introduction
Welcome to Vitekni ("Vitekni," "we," "our," or "us").
Vitekni provides virtual assistance, customer support, technical customer support, reporting and analytics, medical virtual assistance, social media management, and other business support services.
These Terms of Service ("Terms") govern your access to and use of our website and describe the general conditions under which you may enquire about or engage our services.
By accessing or using our website, you agree to these Terms. If you do not agree, please discontinue using the website.
Where you engage Vitekni for paid services, a separate proposal, service agreement, statement of work, or other written agreement may apply. If that agreement conflicts with these Terms regarding the services it covers, the separate agreement will take precedence to the extent of the conflict.
2. Eligibility and Website Use
You may use our website for lawful purposes and in accordance with these Terms.
By using the website, you confirm that you are legally capable of entering into a binding agreement under the laws applicable to you. If you use the website on behalf of a business or organization, you confirm that you have authority to act on its behalf.
You agree not to:
Use the website for unlawful, fraudulent, or misleading purposes.
Attempt to gain unauthorized access to our website, systems, or data.
Interfere with the website's security, availability, or normal operation.
Introduce malicious software or engage in activities that could damage our website or systems.
Copy, reproduce, distribute, or exploit website content in ways that violate applicable laws or intellectual property rights.
We may restrict or suspend access to the website where reasonably necessary to protect its security, comply with legal obligations, or address misuse.
3. Our Services
Vitekni provides business support services that may include:
- Virtual Assistance: Administrative support, inbox management, calendar coordination, document preparation, research, and workflow assistance.
- Customer Support: Customer enquiries, ticket handling, communication support, and customer-service operations.
- Technical Customer Support: Initial troubleshooting, issue documentation, technical enquiries, and escalation according to agreed procedures.
- Reporting and Analytics: Data organisation, reporting, dashboard preparation, and analysis to support business decisions.
- Medical Virtual Assistance: Administrative and operational support for healthcare-related businesses, subject to agreed responsibilities and applicable requirements.
- Social Media Management: Content coordination, scheduling, account support, and related activities within the agreed scope.
The precise services, deliverables, working hours, communication channels, service levels, and responsibilities will be determined during the consultation and agreed in writing before work begins.
We may update or expand our service offerings from time to time. Any changes to an existing client's agreed services will be handled according to the applicable service agreement.
4. Enquiries, Consultations, and Service Agreements
Submitting a contact form or booking a consultation does not automatically establish a client relationship or guarantee that Vitekni will provide services.
We may request additional information to understand your requirements, assess whether we can support your business, and determine an appropriate service scope.
Before work begins, the parties should agree on the applicable terms, which may include:
- Services and deliverables to be provided.
- Fees, payment schedules, and applicable taxes.
- Working hours, availability, and communication arrangements.
- Project timelines and client dependencies.
- Confidentiality and information-security requirements.
- Additional contractual, legal, or regulatory obligations.
A client engagement begins when the parties have accepted the applicable service agreement or other written arrangement and satisfied any agreed commencement conditions.
If a proposal, service agreement, statement of work, confidentiality agreement or data-processing agreement conflicts with these general Terms regarding the services it covers, the separate written agreement takes precedence to the extent of the conflict.
Independent relationship
Nothing in these Terms creates a partnership, joint venture, employment, agency or fiduciary relationship between Vitekni and a client. Neither party may bind the other unless expressly authorised in writing.
5. Fees and Payments
Fees, payment methods, billing intervals, deposits, and payment deadlines will be communicated in a proposal, invoice, or separate written agreement.
Unless otherwise agreed in writing:
The client is responsible for paying the agreed fees by the stated due date.
Any applicable taxes, transaction charges, or additional expenses will be handled as specified in the relevant agreement.
Additional work outside the agreed scope may require a revised quote or written approval.
Payment obligations for completed work remain subject to the applicable agreement and mandatory legal requirements.
If a payment becomes overdue, we may contact the client to resolve the matter. Where permitted by the applicable agreement and law, we may suspend further work after providing reasonable notice.
We will communicate applicable pricing and payment terms before a client commits to a paid engagement.
6. Cancellations, Rescheduling, and Termination
Consultations, projects, and ongoing service arrangements may have different cancellation and termination requirements.
For consultations, any applicable rescheduling or cancellation arrangements will be communicated during booking.
For paid services, the relevant proposal or service agreement should specify:
The notice period required to terminate the engagement.
Whether any advance payments or deposits are refundable.
How outstanding invoices and work completed up to the termination date will be handled.
Any agreed cancellation charges, where lawful.
How client information, credentials, records, and work in progress will be returned, transferred, or securely deleted.
Either party may terminate an engagement in accordance with its applicable agreement.
Where an agreement does not address a particular issue, the parties should seek to resolve it in good faith, subject to applicable law.
Nothing in these Terms removes any cancellation, refund, or other rights that cannot legally be excluded.
7. Client Responsibilities
To enable us to provide services effectively, clients agree to:
Provide accurate, complete, and reasonably timely information and instructions.
Provide the access, permissions, materials, and approvals necessary for the agreed work.
Ensure they have the legal right to share information, content, and materials with Vitekni.
Identify any relevant confidentiality, privacy, security, or regulatory requirements before work involving sensitive information begins.
Review deliverables and provide feedback or approvals within agreed timeframes.
Maintain appropriate control over their own accounts, systems, business decisions, and responsibilities.
Clients are responsible for ensuring that their instructions and supplied materials are lawful and that they have the necessary rights and authorizations for the activities they request.
Delays caused by missing information, unavailable access, or outstanding client approvals may affect agreed timelines.
8. Confidentiality and Data Protection
We recognize the importance of protecting confidential business information and personal data.
Where we handle client information, we will follow the confidentiality, privacy, and security requirements agreed with the client, subject to applicable law and the relevant service agreement.
Depending on the engagement, these requirements may include access restrictions, approved communication channels, secure information handling, confidentiality commitments, and other appropriate safeguards.
Clients should communicate relevant security requirements before providing access to confidential systems or information.
Our handling of personal information collected through the website is described in our Privacy Policy:
Privacy Policy: https://vitekni.com/privacy-policy
The Privacy Policy addresses website-related personal information. Additional terms or data-processing arrangements may apply when we process personal data on behalf of a client.
9. Healthcare and Sensitive Information
Some Vitekni services may involve administrative or operational support for healthcare-related businesses.
Medical virtual assistance does not, by itself, mean that Vitekni provides medical care, clinical advice, diagnosis, or treatment. Unless expressly agreed under an appropriate arrangement, our role is limited to the administrative and operational activities described in the relevant service agreement.
Before any patient information or other sensitive information is shared, the parties should establish the necessary permissions, responsibilities, and safeguards.
Depending on the client, location, and nature of the work, applicable requirements may include healthcare privacy laws, general data-protection laws, confidentiality obligations, or written agreements such as a Business Associate Agreement where legally required.
We will discuss relevant client requirements before undertaking work that involves such information. We do not represent that every engagement automatically falls under, or satisfies, any particular regulatory framework or certification.
Applicable responsibilities and safeguards are assessed with each client before work involving regulated or sensitive information begins.
Clients must not submit patient records, medical details, passwords, payment-card information, or other sensitive information through general website enquiry forms.
10. Intellectual Property
The Vitekni website and its original content, branding, graphics, text, and other materials are owned by Vitekni or used with appropriate permission, unless otherwise stated.
You may view and use the website for its intended informational purposes. You may not reproduce, modify, distribute, or commercially exploit website materials without the necessary permission, except where applicable law permits such use.
For paid client engagements, ownership and permitted use of deliverables, reports, documents, designs, and other work products will be determined by the applicable service agreement.
Clients retain ownership of materials and information they provide, subject to any rights held by third parties.
Unless otherwise agreed, each party retains ownership of its pre-existing intellectual property, tools, methods, templates, and materials. Any rights granted to the other party must be established in the relevant agreement.
11. Third-Party Services and Platforms
Our services may involve third-party platforms, software, communication tools, customer relationship management systems, analytics tools, or social media platforms.
These third-party services may be governed by their own terms, privacy policies, availability conditions, and security practices.
Unless expressly agreed in writing, Vitekni does not control the independent operation of third-party platforms and cannot guarantee their uninterrupted availability, performance, or continued functionality.
Clients are responsible for maintaining the necessary subscriptions, licences, permissions, and account access for third-party tools used in their engagements, unless otherwise agreed.
12. Service Availability and Changes
We aim to provide services professionally and in accordance with the agreed scope.
However, website availability, third-party platforms, communication networks, and other technical systems may occasionally experience interruptions or delays.
We do not guarantee that the website will always be available, uninterrupted, error-free, or compatible with every device or browser.
For paid services, any specific availability commitments, response times, service levels, or remedies will be set out in the relevant agreement.
We may maintain, update, or modify the website as reasonably necessary. Such changes will not alter an existing client's contractual rights except as permitted by the applicable agreement and law.
13. No Guarantee of Business Results
Vitekni provides operational and administrative support intended to help clients manage their workloads and business processes.
Business outcomes may depend on many factors outside our control, including client decisions, market conditions, the quality of supplied information, third-party systems, and implementation by the client.
Unless expressly agreed in a written contract, we do not guarantee particular levels of revenue, customer satisfaction, sales, cost savings, engagement, productivity, search rankings, or other business results.
Clients remain responsible for their business decisions and for reviewing and approving work where required.
14. Disclaimers and Limitation of Liability
To the extent permitted by applicable law, the website and its general informational content are provided on an "as available" basis.
We do not guarantee that all website information will always be complete, current, or free from errors.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
For paid services, liability, indemnities, warranties, and remedies should be addressed in the relevant service agreement.
To the extent permitted by law and subject to any applicable agreement, Vitekni will not be liable for indirect or consequential losses arising from website use or service engagements, including loss of profits, revenue, business opportunities, or anticipated savings.
Any limitation of liability for a paid engagement must be interpreted consistently with the applicable contract and mandatory law. These Terms do not establish a monetary liability cap for an engagement where no such cap has been separately agreed.
15. Indemnification
To the extent permitted by applicable law, a client may be responsible for losses, claims, or expenses arising from its unlawful instructions, unauthorised disclosure of information, infringement of third-party rights, or material breach of the applicable agreement.
Any indemnification obligations for a paid engagement will be governed by the relevant service agreement.
Nothing in this section creates an obligation to indemnify another party where doing so would be prohibited by applicable law.
16. Suspension and Termination of Website Access
We may restrict or suspend access to the website where reasonably necessary to address security threats, unlawful activity, misuse, or compliance obligations.
Where Vitekni provides paid services, suspension or termination of the client engagement will be governed by the applicable service agreement and mandatory legal requirements.
Termination does not remove payment obligations, confidentiality obligations, intellectual-property provisions, or other provisions that are intended to continue after termination.
17. Changes to These Terms
We may revise these Terms from time to time to reflect changes to our website, services, business practices, or legal requirements.
The updated version will be published on this page with a revised effective date.
Changes will apply prospectively unless otherwise required by law or agreed in writing. Changes to an existing client engagement will be handled according to the applicable service agreement.
We encourage visitors and clients to review this page periodically.
18. Governing Law and Disputes
The governing law and dispute-resolution arrangements for paid services will be set out in the applicable service agreement.
For general website use, applicable law and jurisdiction will be determined by the relevant legal rules and any mandatory legal protections available to the parties.
We encourage users and clients to contact Vitekni first to attempt to resolve any concerns or disputes in good faith.
Nothing in these Terms limits any rights or remedies that cannot lawfully be excluded or restricted.
19. Third-Party Websites
Our website may contain links to third-party websites or services for convenience or informational purposes.
We do not control third-party websites and are not responsible for their content, availability, policies, or practices.
Accessing third-party websites is at your own discretion. We recommend reviewing their applicable terms and privacy policies.
20. Severability and Entire Agreement
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
These Terms govern general website use. For paid services, they should be read alongside any applicable proposal, service agreement, statement of work, confidentiality agreement, or data-processing agreement.
If a separate written agreement conflicts with these Terms concerning a particular engagement, the separate agreement will take precedence to the extent of the conflict.
A failure to enforce a provision does not automatically waive the right to enforce it later.
